Introduction

Your use of the Platform and services, tools, and content are governed by the following terms and conditions ("Terms of Use") as applicable to the Platform, including the applicable policies which are incorporated herein by way of reference. If you transact on the Platform, you shall be subject to the policies applicable to the Platform for such transaction.

By mere use of the Platform, you shall be contracting with the Platform Owner and these Terms of Use, including the policies, constitute your binding obligations with Platform Owner.

Any terms and conditions proposed by you which are in addition to or which conflict with these Terms of Use are expressly rejected by the Platform Owner and shall be of no force or effect.

These Terms of Use can be modified at any time without assigning any reason. It is your responsibility to periodically review these Terms of Use to stay informed of updates.

ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THE TERMS OF USE CAREFULLY BEFORE PROCEEDING.

1. General Provisions

1.1 Scope

These Terms & Conditions (“Terms”) govern access to the Market Rush software platform, research evaluation services, contractor review services, dashboard tools, data visualisation features, and related digital services operated by MARKETRUSH TECHNOLOGIES PRIVATE LIMITED (“Market Rush”, “we”, “our”, “us”).

1.2 Nature of Service

Market Rush provides access to a digital, software-based research evaluation platform. The platform allows users to access structured research tasks, simulated market interfaces, analytical dashboards, rule-based review systems, and contractor eligibility workflows. Market Rush does not execute real-market trades for users, does not accept deposits for trading, does not manage customer funds, and does not provide investment advice, recommendations, or portfolio management services. Market Rush is not a stock broker, exchange, investment adviser, portfolio manager, or SEBI-registered intermediary.

1.3 Acceptance

By creating an account, paying a software access fee, accepting a dashboard agreement, or using our services, you agree to these Terms. If you do not agree, you may not use the services.

1.4 Digital Delivery

All services offered by Market Rush are delivered digitally through our website and user dashboard. We do not ship or deliver any physical goods.

2. Eligibility

2.1 Who Can Use the Platform

The Market Rush platform may be accessed by individuals worldwide. However, the program is designed around Indian market reference instruments, with INR-only payments, and service rules aligned to Indian market hours.

2.2 Minimum Requirements

• At least 18 years of age
• Ability to pay fees in INR through supported payment methods
• Ability to comply with Indian market session windows and platform operating schedules
• To receive contractor or contributor rewards: valid Indian PAN and an Indian bank account in your name

2.3 Restrictions

Corporate entities are not eligible to participate. We may decline service or restrict access to any user or region where offering the services may be unlawful, restricted, or commercially impractical.

3. Accounts, Registration & Security

3.1 Accurate Information

You agree to provide true, accurate, complete, and up-to-date information during registration, KYC, and contributor reward verification. Providing false or misleading information is a material breach of these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. If you suspect unauthorized access, you must notify us immediately.

3.3 Multiple Accounts

You may hold multiple research service accounts. However, all accounts remain subject to these Terms, service specifications, and identity verification requirements. We may request additional verification where we detect account sharing, circumvention, coordinated misuse, or identity mismatch.

3.4 Fraud Prevention & Monitoring

To protect platform integrity, Market Rush may monitor and record platform activity including login patterns, device identifiers, device fingerprinting, IP history, geolocation signals, session behavior, and usage analytics. This may be used for fraud prevention, security, and compliance checks.

4. Services

4.1 Inclusions

• Software access to structured research evaluation workflows
• Simulated market interface, charts, account analytics, and dashboard reporting
• Reference market data through licensed or authorised providers where available
• Reference transaction costs, statutory cost estimates, and platform controls where applicable
• Contractor review workflows for users who meet applicable eligibility and verification requirements

4.2 Instruments

The platform may provide a simulated research environment based on selected NSE, BSE, and MCX reference instruments. The platform is intended for intraday research workflows only; open platform positions may be automatically closed approximately 15 minutes before market close or at such other time specified in the dashboard.

4.3 Execution

Platform order tools may include Market, Limit, and SL-M style controls. All outcomes are calculated inside the Market Rush software environment using reference pricing, reference order-book logic, latency assumptions, cost assumptions, and other system parameters. These calculations are part of the software service and may differ from actual exchange execution.

5. Research Evaluation Services

5.1 Service Stages

Market Rush may provide one-step, two-step, instant-access, or other research evaluation service formats. Each format is a software service configuration with its own dashboard-visible specifications, review conditions, account controls, and eligibility requirements. The available formats, access fees, account sizes, objectives, review conditions, and operating parameters may differ by plan and may be updated from time to time.

5.2 Dashboard Specifications

The specific objectives, drawdown limits, activity requirements, permitted instruments, session controls, review criteria, and progression conditions applicable to your selected service are displayed on the website, checkout flow, and/or user dashboard. You are responsible for reviewing those specifications before purchase and before using the relevant account. No maximum time limit applies unless expressly shown in the dashboard, but 30 days of inactivity results in account closure.

6. Fees & Payments

6.1 Software Access Fee

One-time software and research-platform access fee, varying by simulated research balance. This is not an investment, deposit, brokerage charge, trading capital, fund-management fee, or consideration for guaranteed returns.

6.2 Payment Methods

Payments are processed through authorized third-party payment gateways supporting UPI, Netbanking, and Cards. Applicable taxes may be added and reflected on the invoice.

6.3 Refund

Refunds, where applicable, are processed to the original payment method in accordance with our Cancellation & Refund Policy.

6.4 Chargebacks & Payment Disputes

Initiating chargebacks, payment reversals, or disputes without first contacting support may be treated as a breach of these Terms. We may suspend access and/or withhold contractor or contributor rewards while the dispute is investigated. If a chargeback is resolved against you, you may be permanently restricted from using the platform.

7. Prohibited Use & Platform Integrity

7.1 Restrictions

• Exploiting latency, data delays, software defects, feed discrepancies, or system glitches
• Using the platform in a manner inconsistent with the stated research service specifications
• Attempting to manipulate platform records, data, review outcomes, or dashboard calculations
• Use of bots, automation, scripts, scraping, or API-like behaviour without written permission
• Using multiple accounts, shared credentials, or coordinated activity to bypass service limits
• Attempting to reverse-engineer execution logic, risk systems, review systems, or platform controls
• Submitting false information, misleading explanations, forged documents, or mismatched identity details

7.2 Consequences

Breaches may result in account restrictions, loss of access, reset or termination of the relevant research account, denial of contractor eligibility, withholding of pending reward requests, and/or permanent platform restriction.

7.3 Investigations

We may review platform activity, order-entry patterns, account activity, login patterns, device fingerprints, IP history, geolocation signals, records, documents, and platform interactions to detect prohibited use. During investigation, we may restrict access, withhold contractor or contributor rewards, delay service progression, or request additional verification.

8. Contractor Review & Rewards

8.1 Additional Agreement

After meeting the requirements of an applicable research evaluation service, you may be eligible to access a Contributor Review Account or contractor review workflow. Access to any such workflow and any reward-related terms are governed by a separate Contributor Participation / Rewards Agreement or contractor agreement, together with the dashboard specifications applicable at the time of activation. You must review and accept those terms before any contractor review access is activated.

8.2 Nature of Contractor Rewards

Contractor or contributor rewards, if any, are not investment returns, profit distributions, salaries, guaranteed income, or returns on deposited capital. They are conditional contractual payments for eligible users who satisfy the applicable research service requirements, verification checks, platform integrity checks, and contractor agreement terms. Any reward formula, review schedule, scaling access, payout cadence, refund credit, or eligibility condition is defined in the separate Rewards Agreement and dashboard specifications applicable at that time.

8.3 Service Limits & Aggregation

Contributor Review Accounts are capped at an aggregate of ₹1 crore simulated research balance per person at any time. You may hold multiple accounts, but the combined active simulated research balance cannot exceed ₹1 crore. We may merge, restrict, suspend, or deactivate accounts to enforce this service limit.

8.4 Conditional Participation

Contributor review participation is conditional upon continued compliance with all risk controls, dashboard controls, verification checks, service specifications, and contractor agreement requirements. Market Rush may refuse, restrict, suspend, or revoke Contributor Review Account access at any time where we detect violations, suspicious activity, abuse, circumvention, identity issues, or integrity concerns.

8.5 Rule Violations & Forfeiture

If you violate Contributor Review Account requirements, the Contributor Review Account may be forfeited and access may be terminated. Any progression status, scaling eligibility, contractor eligibility, dashboard status, or reward-related request on that Contributor Review Account may be revoked. Reward-related outcomes are subject to verification and governed by the separate Rewards Agreement or contractor agreement.

8.6 Final Decision

In case of disputes regarding platform calculations, review outcomes, execution logic, service breaches, account actions, contractor eligibility, or reward-related requests, Market Rush’s decision shall be final, except for demonstrable system errors confirmed by us in writing.

9. KYC, Taxes & Contractor Reward Requests

9.1 Verification (KYC)

You may be required to complete identity verification (KYC) and provide supporting documentation before accessing certain services, contractor review workflows, or Contributor Review Account functionality. Verification requirements may include PAN, government-issued ID, address proof, bank ownership proof, tax details, and any other information reasonably required for compliance and payment processing. Verification timelines may vary.

9.2 Compliance Checks

Market Rush may perform compliance and integrity checks at any time, including prior to approving any contractor reward-related requests. We may request additional documentation, explanations, or confirmations. Failure to complete verification or compliance checks may result in restricted access, delayed processing, or denial of eligibility under service specifications or contractor agreement terms.

9.3 Taxes

Contractor or contributor rewards, if any, may be taxable under applicable law. You are responsible for determining and fulfilling your tax obligations. Market Rush may deduct TDS and/or provide statements as applicable under Indian law.

9.4 Rewards Requests & Processing

Any contractor reward-related request or processing is subject to successful verification, compliance review, bank validation, tax validation, and completion of requirements communicated on the dashboard and/or in the separate Rewards Agreement. Market Rush may decline, delay, adjust, or reverse outcomes where required by law, policy, payment processing standards, compliance standards, fraud prevention, or platform integrity concerns.

10. Technical Issues & Platform Availability

10.1 Service Availability

Market Rush does not guarantee uninterrupted, timely, secure, or error-free access to the platform. The platform may be unavailable due to maintenance, upgrades, technical failures, capacity constraints, third-party service disruptions (including hosting, payments, KYC, or reference data providers), internet outages, or other causes beyond our reasonable control.

10.2 Data, Charts, and Execution

Reference data, charts, prices, and platform execution calculations are provided on a best-effort basis. Delays, freezes, gaps, incorrect prints, or discrepancies may occur. Platform calculations may differ from actual market conditions and actual exchange execution.

10.3 User Responsibility

If you detect or suspect any technical issue or discrepancy, you must immediately stop using the affected platform feature and contact support. Continuing to use the affected platform feature after detecting or suspecting an issue is done entirely at your own risk.

10.4 No Compensation or Adjustments

Market Rush is under no obligation to provide compensation, outcome adjustments, calculation adjustments, service resets, service condition waivers, or fee refunds due to technical issues, downtime, or system unavailability, except where explicitly stated in writing by Market Rush.

10.5 Limitation for Technical Failures

To the maximum extent permitted by law, Market Rush shall not be liable for any direct or indirect loss, missed opportunity, adverse service outcome, service breach, or damages arising from downtime, latency, order delays, disconnections, chart issues, data feed interruptions, software errors, or any technical malfunction.

11. Intellectual Property

All software, charts, and content remain Market Rush property or licensed. Limited, revocable, non-exclusive access is granted. Reverse-engineering, scraping, or circumvention is prohibited.

12. Compliance & Regulatory

12.1 Not a Regulated Financial Service

Market Rush is not a stock broker, exchange, investment adviser, portfolio manager, or SEBI-registered intermediary. We do not accept customer deposits for trading, do not pool user funds, do not place orders on exchanges for users, and do not execute trades on your behalf.

12.2 User Compliance

You are responsible for ensuring that your use of the platform is lawful in your jurisdiction. If local law restricts your participation, you must not use the services. We may restrict access to any user at any time where offering services could create legal or regulatory risk.

13. Disclaimer of Warranties

The services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Market Rush disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability. You assume all risk arising from your use of the services.

14. Indemnity

You agree to indemnify and hold harmless Market Rush, its directors, officers, employees, and partners from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the services, your breach of these Terms, fraud, misuse, or violation of any law or third-party rights.

15. Amendments

We may update these Terms. Material changes will be notified via email/User Area. Continued use constitutes acceptance.

16. Privacy

Personal data is processed as described in our Privacy Policy.

17. Governing Law & Disputes

Governed by the laws of India. Disputes resolved by arbitration in Chennai, Tamil Nadu, in English, by a sole arbitrator. Courts at Chennai have jurisdiction for interim relief.

18. Notices & Communications

18.1 Consent

By using the services, you consent to receive communications from Market Rush via email, SMS, phone call, WhatsApp, and dashboard notifications for operational, transactional, marketing, and compliance purposes. You may opt out of marketing communications where applicable, but essential service communications may still be sent.

18.2 Notices

We may provide notices through the dashboard, email, or other contact methods you provide. Notices are deemed delivered when sent, whether or not you read them.

20. Force Majeure

Market Rush shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, regulatory changes, war, strikes, power failures, internet or telecommunications outages, third-party service failures, or market-wide disruptions.

21. Limitation of Liability

To the maximum extent permitted by law, Market Rush’s total aggregate liability, if any, arising out of or related to the services shall not exceed the software access fee paid by you for the specific account or service in question. Market Rush shall not be liable for indirect, incidental, consequential, special, or punitive damages, or loss of profits, business, goodwill, or data.

22. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, along with any referenced policies, constitute the entire agreement between you and Market Rush regarding the services and supersede all prior understandings or communications.
